LatAm firms help UPS seal Bomi acquisition

A slew of international and Latin American firms have helped US delivery company UPS finalise its acquisition of Italian healthcare logistics group Bomi.

In Brazil, Bomi relied on Cescon, Barrieu, Flesch & Barreto Advogados, while the seller, French investment fund ArchiMed, enlisted Vella Pugliese Buosi e Guidoni Advogados in São Paulo. Vella Pugliese also advised Bomi’s Brazilian subsidiary.

The deal, which was first signed earlier in the year, closed on 15 November. The value remains confidential.

Latin Lawyer understands that Pérez Bustamante & Ponce (PBP) in Quito advised UPS too but could not confirm this before publishing.

UPS acquired Bomi’s portfolio of biomedical warehouse and distribution centres across Latin America. That includes an 8,000-square-metre warehouse in Argentina, three distribution centres in Brazil, multiple temperature-controlled facilities in Chile and several more biomedical distribution assets in Colombia, Ecuador, Mexico, Panama and Peru.

Overall, the acquisition handed UPS warehouse assets in 14 countries across Europe and Latin America as well as 3,000 new employees. Following the purchase, the target company will be known as Bomi Group, a UPS Company, while Bomi CEO Marco Ruini will join UPS’s leadership team.

UPS customers now benefit from its total of 216 facilities across 37 countries. By adding Bomi’s logistics resources to its portfolio, the buyer has consolidated its Latin American presence, where it aims to scale up its existing operations and services while also making its biomedical logistics services more efficient. The move comes amidst a heightened demand for the delivery of medical delivery services; UPS’s medical branch has doubled its revenue since 2020, the year in which the covid-19 pandemic began.

Founded in 1907, UPS is the leading delivery company in the US. The logistics giant is a Fortune 500 company, which makes it one of the 500 largest US businesses by revenue. Last year, it took home some US$97 billion worth of earnings, while the company delivers on average around 25 million packages per day.

Founded in Milan in 1985, Italian logistics group Bomi specialises in medical and pharmaceutical delivery services. Now owned by UPS, the company is present in 220 locations with 7,000 employees worldwide.
