SK Capital investment ties up 17 LatAm firms

US private equity firm SK Capital’s acquisition of three businesses from Swiss chemicals company Clariant, which was finalised earlier this month, drew on counsel from eight jurisdictions across Latin America.

The private equity firm purchased the trio from Clariant for US$471 million, with global investment banking firm Jefferies Finance acting as lender.

SK Capital was advised by Brons & Salas in Argentina, Carey in Chile, Lloreda Camacho & Co Attorneys in Colombia, both the Guatemalan and Honduran offices of Consortium Centro América Abogados, Creel, García-Cuéllar, Aiza y Enriquez SC in Mexico, Gallo Barrios Pickmann in Peru and Rodríguez & Mendoza in Venezuela, as well as Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados in Brazil, Morgan, Lewis & Bockius LLP in the US and Swiss firm Bär & Karrer AG, as reported earlier by Latin Lawyer.

Argentine firm Marval, O'Farrell & Mairal, Claro y Cía in Chile, Brigard & Urrutia Abogados in Colombia, Ritch, Mueller, Heather y Nicolau, SC in Mexico and Rodrigo, Elías & Medrano Abogados in Peru advised Jefferies Finance, alongside Brazil’s Machado, Meyer, Sendacz e Opice Advogados. It is also thought that Shearman & Sterling LLP was part of the team advising the investment bank, which it has worked with in the past, although it could not be confirmed before publication.

The seller received counsel from Brazil’s Demarest Advogados, Chile’s Yrarrázaval, Ruiz-Tagle, Goldenberg, Lagos & Silva Abogados, Colombia’s Posse Herrera Ruiz and Switzerland’s Homburger AG.

One of the three companies sold, Emulsions, is headquartered in São Paulo with production sites located in Argentina, Chile, Mexico and Venezuela. Clariant also sold its Singapore and Switzerland based Textile Chemicals and Paper Specialties, which operate in Latin America. Under the terms of the deal all three will merge to create a collaborative new company called Archroma.
