His practice focuses on representing Chilean and foreign clients in mergers and acquisitions, purchase and sale of companies, private equity, venture capital, capital markets and commercial and corporate matters in general.


REPRESENTATIVE EXPERIENCE

  • Codelco on the acquisition of 100% of share capital of Lithium Power International (LPI), a company listed in the Australia Stock Exchange (ASX) by way of a Scheme of Arrangement. LPI owns, through its subsidiary Minera Salar Blanco, the "Blanco Project", adjacent to Codelco's mining tenements in the Maricunga Salt Flat.
  • Falabella on the structuring and negotiation with its subsidiary Plaza for the consolidation of the latter of certain mall-type real estate assets in Peru. The transaction will be carried out through a tender offer in Peru for which, previously, Plaza will carry out a capital increase in Chile to obtain market financing.
  • Codelco on a joint venture with Río Tinto as shareholders of Nuevo Cobre (formerly known as Agua de la Falda), to develop a mining copper project in the Atacama Region. The advice included the drafting and negotiation of a shareholders' agreement, its annexes, and other documents required for the joint venture.
  • Patria Investments on the Chilean aspects of the sale of its controlling interest (90%) of its ODATA subsidiaries in Latin America (Brazil, Chile, Colombia, Mexico and Uruguay).
  • Christus Health on the reorganization of the 50-50 joint venture with Universidad Católica de Chile (PUC) in UC CHRISTUS Health Network, which involved a complex restructuring of companies, real estates, assets, personnel and contracts, as well as the negotiation of an integration agreement and a new shareholders' agreement.
  • Patria Investments, a global alternative asset manager, along with Moneda Asset Management, a leading asset manager based in Chile, on the creation of an investment platform in Latin America, enhancing Patria's product offering by creating the number one Private investments in Public Equities (PIPE) manager in the region. The deal included a sale of shares and an international merger.
  • Celeo Redes and APG Energy & Infra Investments on the acquisition of 100% of Transmisora Eléctrica de Quillota, a joint venture between Colbún and Enel, two of Chile's largest transmission companies for approx. USD31 million.
