- Quinio Chile on the sale of its 51% stake in Importadora, Distribuidora y Comercializadora B&G, a leading company in the import, distribution, and marketing of products for the baby and family segment under well-known brands such as Bebeglo, to its shareholder Importadora RSG. The advice involved drafting and executing the terms for the termination of key operational agreements, as well as negotiating and signing a non-compete agreement and cooperation obligations, effectively concluding the contractual relationship between both shareholders.
- Thermo Fisher Scientific, a U.S. listed global leader in life sciences solutions, on the acquisition of Solventum’s purification and filtration business for approx. USD4 billion, strengthening its global bioprocessing and industrial filtration portfolio.
- Faber-Castell AG, a leading German company in the manufacturing of pencils and writing products, on the acquisition of the 33% stake that Distribuidora de Agendas y Cuadernos Ltda. held in Faber-Castell Chile, becoming owner of the 100%.
- Generadora Metropolitana, a leading Chilean power generation company, in connection with an insurance claim under an all-risk insurance policy issued by Southbridge Compañía de Seguros Generales S.A. The claim arose from a ground fault in the rotor of the gas turbine generator at the Nueva Renca Plant, resulting in significant material damage and business interruption losses exceeding USD10 million.
- Midea Group on the acquisition of the Teka Group, a multinational engaged in the manufacturing and commercialization of electric appliance products, with a presence in over 120 countries including Europe, Asia and the Americas. The advice included corporate, intellectual property, employment, tax, real estate, environmental and regulatory permitting matters, among others.
- Liberty Mutual Insurance, one of the largest insurance companies in the world, on the sale to HDI International (part of the Talanx Group) of Liberty Mutual’s personal and commercial business in Chile, Brazil, Colombia, and Ecuador. The acquisition is estimated for a total deal value of approx. USD1.48 billion. Upon closing, the Talanx Group is expected to become the third-largest insurer by premium income in property/casualty business in Latin America. The transaction was subject to regulatory authorizations in various jurisdictions and had to comply with other usual conditions for this type of transaction.
- Unnio Seguros Generales on its successful defense in several audits and sanctioning procedures before the CMF, regarding the non-compliance with instructions issued by said regulator for the preparation of financial statements, including filing an appeal for reconsideration.
- KSL Capital Partners on the acquisition of a controlling equity stake in Inversiones y Asesorías Katari, the owner and operator of three luxury hotels in Chile, and on the subsequent divestment of one hotel.
