Her practice focuses on corporate and commercial law, mergers and acquisitions, capital markets, corporate governance, private equity and general practice. She advises international and local clients on company acquisition and restructuring processes, joint ventures, design and support of corporate governance structures, capital and debt issuance, including securitized bonds, and public or private offering of securities in local and international markets.
She previously worked as an Associate of Carey’s Tax Group and her practice focused on personal and corporate tax planning, local and international tax consulting and taxation of corporate restructurings.
REPRESENTATIVE EXPERIENCE
- Vinci Investments Partners on the merger with Compass Group, to create a regional asset manager of more than USD50 billion assets under management (AUM). The combined entity manages assets in Chile, Brazil, Mexico, Colombia, Peru, Argentina, Uruguay and Miami. As a result, Compass Group's shareholders acquired 11,783,384 Class A shares of Vinci and Class C redeemable shares of Vinci for USD31.3 million. This operation was awarded "Private Equity Deal of the Year 2025 Award" by Latin Lawyer.
- EF Securitizadora, Moneda and Consorcio on the structuring and issuance of a securitized bond backed by credits originated by Créditos, Organización y Finanzas (COFISA) and Inversiones LP (ILP), both subsidiaries of the public company ABC, holding of La Polar and AD Retail, and the exchange of the corporate bonds issued by AD Retail for the new securitized bonds. The issuance is divided into four tranches of preferred bonds for an aggregate principal of approx. USD185 million, and a subordinated bond for an aggregate principal.
- EF Securitizadora on the structuring and issuance of a securitized bond backed by credits originated by Inversiones y Tarjetas, a subsidiary of Empresas Hites. The main amount of the bond is approx. USD125 million, divided in two preferred tranches for an aggregate principal of approx. USD75 million, and a subordinated note for approx. USD50 million.
- Moneda AGF on the securitization of a credits porfolio of WOM. The transaction included the grant of a bridge loan by Moneda, and the subsequent issuance of a securitized bond by EF Securitizadora. The principal amount of the bond is approx. USD54.2 million, divided in a tranche of preferred notes for USD39.2 million approx., and a subordinated note for USD15 million approx.
- Enel Chile on the negotiation and execution of a share purchase agreement, by virtue of which it was agreed to sell to Sonnedix all of the shares owned by Enel issued by its subsidiary Arcadia Generación Solar for approx. USD550 million. The latter operates and owns a 416 MW generation portfolio, through four solar plants called "Diego de Almagro", "Carrera Pinto", "Pampa Solar Norte" and "Domeyko".
- Moneda AGF and Consorcio on the negotiation, registration and placement of two lines of bonds issued by Créditos, Organización y Finanzas (COFISA), a subsidiary of AD Retail, for up to USD83.5 million approx., in the context of AD Retail's reorganization plan, in accordance with the Chilean Insolvency Law.
- Masisa, a Chilean publicly held corporation in the Securities Registry of the Financial Market Commission (CMF), on the sale process of all the forestry assets to a company wholly owned by GFP Chile Timberland Holdings, for USD350 million.
- Nestlé on the purchase of La Fête Chocolat, a Chilean company that produces premium chocolates and has over 40 sale points throughout the country and an online store.
