Skadden, Arps, Slate, Meagher & Flom LLP in New York, Galicia Abogados in Mexico and the Madrid office of Uría Menéndez have helped Mexican cinema chain Cinépolis obtain a US$300 million syndicated loan.
The deal closed on 23 October. The Chilean and Brazilian subsidiaries of the Mexican cinema chain acted as guarantors for the deal. They were advised by Chilean firm Carey and Brazil’s Campos Mello Advogados respectively. The group of lawyers from Campos Mello who worked on the deal have since moved to Tauil & Chequer Advogados in association with Mayer Brown.
Mayer Brown LLP in New York and Tauil & Chequer Advogados advised the administrative agent, Bank of America, as well as JP Morgan, which were joint book runners and lead arrangers along with Merrill Lynch, the wealth management division of Bank of America.
Creel, García-Cuéllar, Aiza y Enriquez SC, and Philippi Prietocarrizosa & Uría (Chile) acted as Mexican and Chilean counsel to Bank of America. Nine additional banks participated as lenders.
Cinépolis only recently entered the Chilean market, acquiring Cine Hoyts from local entertainment conglomerate ChileFilms in January. The Mexican chain relied on Carey for that deal.
