His practice focuses on representing Chilean and foreign clients in the acquisition and sale of public and private companies, private equity and venture capital transactions, capital markets and corporate and commercial matters in general.


  • Goldman Sachs on the financing of the tender offer over the total number of shares of AES Andes, through a bridge loan to Mercury Chile HoldCo, acting as initial lender, lead arranger, bookrunner and administrative agent, and on a USD360 million senior secured notes issuance due 2027, issued by Mercury Chile HoldCo under Rule 144A/Regulation S of the United States Securities Act of 1933, acting as sole global coordinator, bookrunner and initial purchaser.
  • The Bank of Nova Scotia (BNS) on the acquisition of a 16.76% stake in Scotiabank Chile and other Chilean subsidiaries from the Said family, by means of a share purchase and share exchange for USD1.014 billion. As a consequence, BNS became the owner of a 99,79% interest in Scotiabank Chile, with an immaterial amount of public float stock. Also, on the corporate reorganization of seven subsidiaries with redundant purposes as a consequence of the merger of BBVA Chile and Scotiabank Chile in 2018, to simplify their structure. Such subsidiaries are related to financial advisory services, stockbroker, insurance broker, and factoring. The transaction required the approvals and/or regulatory procedures before the Chilean Commission for the Financial Market (CMF) and the fulfillment of each regulatory and legal framework applicable to each of the companies.
  • Asset AGF on the structuring and formation of the public funds, Fondo de Inversión Asset Rentas Comerciales Vivo and Fondo de Inversión Asset Deuda Vivo, both for approx. USD30 million. Also, on its registration before the Financial Market Commision, agreements, internal regulation and corporate governance, negotiation with the fund's shareholders and the invesment of the funds in VivoCorp.
  • International Finance Corporation on an investment in an asset-backed bond, issued by Compañía Agropecuaria Copeval, to develop "green" agriculture, including the negotiation of an investment agreement and the local documentation for the bond issuance.
  • Falabella on the issuance and placement of a ten-year bond for USD650 million in the international markets, under Rule 144A and Reg. S of the 1933 Securities Act of the USA, at a rate of 3.477%. Part of the proceeds were used to cover the buyback for cash of a percentage of two series of the issuer's international notes maturing in 2023 and 2025, respectively. Also, on a capital increase and secondary shares offering for a total of USD800 million, of which USD380 million were newly issued shares and USD160 million were secondary shares. The shares were placed through a public auction on the Santiago Stock Exchange, also involving an international private placement (144A/RegS).
  • Falabella Inversiones Financieras on the sale of Viajes Falabella to Despegar.com in Chile, Colombia, Perú and Argentina for USD27 million, including a long-term commercial alliance, the promotion and incentive of the financial products and fidelization program.
  • J.P. Morgan Securities and BofA Securities, as international agents, for the placement of shares for approx. USD1 billion for the IPO of Cencosud Shopping under Reg S/Reg 144 A.
  • Christus Health and Pontificia Universidad Católica de Chile on the implementation of a joint venture for the financing, operation and development of UC Christus, the largest private healthcare network in Chile, which is the owner of Clínica San Carlos de Apoquindo, among other assets. During the last phase of the project, we advised on the corporate structuring of the contribution of relevant assets to the joint venture.
