Her practice focuses on representing Chilean and foreign clients in various kinds of mergers and acquisitions transactions, including tender offers, private equity and asset acquisitions, joint ventures, securities regulation and corporate governance.
Previously, her practice focused on tax law, advising clients on personal and corporate tax planning, local and international tax consulting, taxation of corporate restructuring and reorganizations and tax litigation.
REPRESENTATIVE EXPERIENCE
- Mainstream Renewable Power on the implementation of the financial restructuring of its portfolios of ten non-conventional renewable energy generation projects "Huemul" (630MW), "Cóndor" (591 MW) and "Copihue" (148.5 MW), financed under a project finance structure with several banks syndicates and the renegotiation of a Mezzanine financing granted in connection thereto; all of the above as part of the Chilean reorganization processes initiated by Cóndor Energía and Huemul Energía, and under the Chapter 11 process initiated in the United States against certain affiliates of MRP by one of its creditors.
- Patria Investments on the association with Moneda Asset Management, to create a regional asset manager of more than USD25.9 billion of AUM, through the purchase of Moneda with a combination of cash and shares issued by Patria.
- The Bank of Nova Scotia on the acquisition of a 16.76% stake in Scotiabank Chile and other Chilean subsidiaries from the Said family, by means of a share purchase and share exchange for USD1.014 billion. As a consequence of this transaction, BNS became the owner of a 99,79% interest in Scotiabank Chile, with an immaterial amount of public float stock.
- Grupo Axo on the acquisition of 100% of the shares of Komax. Grupo Axo is a leading Mexican retail company in the apparel and fashion industry and represents brands such as Abercrombie & Fitch, Bath & Body Works, Calvin Klein, Crate & Barrel, Guess, Nike, Tommy Hilfiger, and Victoria's Secret, among others. Komax is a Chilean company that represents major brands in the retail industry in Chile, Peru and Uruguay, such as The North Face, GAP, Banana Republic, Brooks Brothers, among others. Upon closing, Grupo Axo will acquire the entire operation of Komax in these countries.
- Patria Investments on the Chilean aspects of the sale of its controlling interest (90%) of its ODATA subsidiaries in Latin America (Brazil, Chile, Colombia, Mexico and Uruguay). The transaction was governed by New York law and involved the coordination of different legal advisors for each of the parties, Patria and Cyrus One, as sellers, and Aligned Data Centers as buyer. Additionally, the sale was conditional on the pre-payment of the senior, VAT and bridge loans of which ODATA was a borrower, which also involved the coordination of the different advisors of the financial institutions involved.
- Maprin, a leading Chilean company engaged in the distribution of raw materials for the pharmaceutical and cosmetic industry, on the sale of 100% of its ownership to IMCD, a global distribution company headquartered in the Netherlands.
- Zapping, a Chilean start-up that provides subscription-based live TV services via Internet connection, on a USD5 million financing round through SAFE's.
- Funds and corporate ventures such as WeBoost, Genesis Ventures, Zentynel Ventures, on their investments in technology start-ups, and Chilean start-ups and accelerators, such as Zapping, Phage Technologies, Cells for Cells and TIMining, on their structuring, reorganization and/or financing rounds.
