Carey and Mackenna steer healthcare buy

Carey has helped US not-for-profit health-care company Christus Health acquire Colmena Salud’s stake in the Carlos de Apolquindo clinic in Chile.

Colmena Salud, a health insurance company controlled by the Chilean Bethia Group, turned to Mackenna, Irarrázaval, Cuchacovich & Paz for counsel. The transaction was signed on 8 April with no value disclosed.

The acquisition gives Christus, among the 10 largest health-care providers in the US, a 50 per cent stake in the Chilean clinic, which it will now share jointly with Santiago’s Universidad Catolica Pontificia de Chile.

The purchase follows on from Christus’s first venture into the Chilean health-care market last year when it acquired a 40 per cent stake in the country’s largest health-care provider, for which it also retained Carey.

M&A deals in the health-care sector remain relatively rare in Chile and involve unusual regulatory challenges, such as handling the relationship with the clinic’s doctors, managing contracts with insurance companies and the procurement of sector-specific governmental approvals.
