Francisco Ugarte is a partner of Carey y Cía.’s Corporate / Mergers & Acquisitions / Capital Markets Group. His practice consists chiefly of representing international and local clients with various kinds of mergers and acquisitions transactions, including tender offers, private stock and asset acquisitions, mergers, joint ventures and cross-border transactions. His practice has also included a wide range of equity and debt offerings, derivatives, project development, and finance transactions for financial institutions and corporate issuers. Mr. Ugarte is a member of the work–team of the Mineral Resources Committee of the Chilean Institute of Mining Engineers responsible for drafting the “Code on the Certification of Exploration Prospects, Mineral Resources and Reserves,” with the aim of facilitating mineral exploration funding and the listing of new and junior mining companies. From 2001 to 2003, he worked as a foreign associate with the New York law firm Shearman & Sterling in the Project Development & Finance Group. He has also been an Assistant Professor at the Pontificia Universidad Católica de Chile, having lectured on topics within the fields of corporations and securities. In addition, Mr. Ugarte writes frequently on topics such as capital markets and corporate governance. In 2003, Latin Lawyer, a business law magazine for Latin America, named him one of the 20 leading corporate lawyers in Chile under the age of 40. Mr. Ugarte studied law at the Pontificia Universidad Católica de Chile and was admitted to the Bar in 1996. He also received a Master of Laws (LL.M.) from the University of Chicago Law School in 2001. He is fluent in Spanish and English.
