Her practice focuses primarily on mergers and acquisitions, corporate and commercial law, domestic and international corporate financing, international trade, foreign investment, and general practice.


REPRESENTATIVE EXPERIENCE

  • UPS on the acquisition of BOMI Group, a multinational healthcare logistics provider, in particular, in relation to the local aspects of its Chilean subsidiary Bomi Chile.
  • Qantas Airways on the process of revalidation of its Air Operator Certificate before the DGAC in order to resume its regular flights to and from Chile. Its previous license required to be revalidated due to the suspension of its flights during the pandemic.
  • Piscicultura Tierra del Fuego, a subsidiary of Nova Austral, on a Term Loan Facility Agreement for USD26.5 million granted by DNB Bank ASA and supported as guarantor by EKF, Denmark’s Export Credit Agency.
  • VTR on a financing with several domestic and foreign banks and financial institutions for USD484 million, consisting of a revolving credit line for up to USD185 million; a local long term loan for approx. USD 275 million (CLP174 billion) and another revolving credit line for approx. USD24 million (CLP15 billion).
  • Nova Austral on a financing consisting in the issuance of a series of bonds ruled by the laws of Norway for a total amount of USD300 million, sold and placed in Norway by Pareto Securities AS, DNB Markets and Arctic Securities AS by means of a private offer. Additionally, on a super senior multicurrency revolving credit facility granted by the Norwegian bank DNB Bank ASA to the company for a total amount of USD30 million, with a possibility of increasing to USD50 million.
  • Kenon Holdings, IC Power's subsidiary, on the sale of its operations in Bolivia, Chile, Dominican Republic, El Salvador, Guatemala, Jamaica, Nicaragua, Panama and Peru to I Squared Capital, for USD1.2 billion. The purchase agreement was made through the Peruvian subsidiary of IC Power, Inkia Energy, which portfolio includes hydroelectric, wind and thermal facilities as well as an electricity distribution company serving 1.7 million people. These assets, have a combined installed capacity of 3.4GB.
  • IC Power (Termoeléctrica Colmito) on a credit facility for approx. USD10.5 million granted by Banco de Crédito del Perú (BCP). The transaction included the termination, release, cancelation of the loan agreement with Banco Bice and the security documents granted in its benefit, and the granting of new security documents for the benefit of BCP. Termoeléctrica Colmito has a 58MW capacity and is located in Concón, Valparaíso Region, Chile.
  • China Tianying, a leading company in environmental services, on the Chilean aspects of the acquisition of Urbaser, a Spanish company with presence in different jurisdictions, including its Chilean subsidiaries KDM, Starco and Demarco.
