Her practice area focuses on employment and labor law, advising national and foreign companies on matters such as hiring and termination of employees' processes, outsourcing and externalization of services, employment matters in corporate restructuring processes, including M&A and due diligence.

Likewise, she has experience in assessing clients on the structure and implementation process of -short and long term- compensation and incentives schemes, including incentives in securities (stock option, RSU, PSU, among others), phantom units, retention bonuses, management incentives and golden parachutes.


REPRESENTATIVE EXPERIENCE

  • A US-based private equity firm, and its luxury hotel platform, on the acquisition of a Chilean luxury lodge chain.
  • A regional provider of digital infrastructure services on day-to-day labor matters related to its expansion in Chile and Peru, including the revision of issues associated to a due diligence process. Additionally, on several matters regarding the formalization of the change of employer for the incorporation of entities in Chile.
  • An insurance multinational on a restructuring process that included management movements of high positions within the entities, as well as the termination of various key executives.
  • A European leading provider of laboratory diagnostic services on the acquisition of a Chilean health services conglomerate operating in Chile.
  • A leading international telecoms company on labor matters related to its 50/50 joint venture with a multinational, including the revision of several issues in the due diligence and the negotiation of the purchase agreement. Also, on an analysis of shares incentive plans, outsourcing and the restructuring of severance payment packages for its employees.
  • A unicorn Chilean food-tech company producing plant-based alternatives to animal-based food products, on all the day-to-day employment and labor related matters, including analyzing different courses of actions available to carry out dismissals; analyzing risks associated to the hiring of individuals under different structures; drafting labor documentation; advising on the immigration alternatives and reviewing and adjusting several internal policies, which need to be in compliance with the law and with the company's strong diversity values.
  • The Chilean subsidiary of a global financial services company on the labor aspects associated to the incorporation process of the company in Chile, which included the preparation of the employment contracts, proposal letters, adjustment of the company's policies, guidance in the immigration status of the employees, among others.
  • A shiping company on the labor and employment matters of its reorganization process in Chile, which involved several employees, complex matters related to the transfer method to be applicable, equilizing benefits, eventual changes in terms of employment and claims filed by terminated employees.
